Terms of use
The rules for using this website, and the status of what is published on it. Client work is governed separately, by the agreement attached to your scope.
- Effective date
- Last reviewed
These terms apply to https://bizupllc.com. They do not replace a signed project agreement, and nothing published on this site — including any price, package or timeline — is an offer capable of acceptance.
About these terms
These terms govern your use of this website. They are between you and Bizup LLC (Business Up LLC, a limited liability company formed in the State of Washington, registered at 550 Broadway, Seattle, WA 98122).
Work we carry out for clients is governed by a separate signed agreement and the scope attached to it. Where that agreement and these terms disagree, the signed agreement controls.
By using this site you accept these terms. If you do not accept them, please do not use the site.
Using the site
- Do not attempt to gain unauthorised access to the site, its hosting or any connected system.
- Do not scrape, mirror or systematically copy the site's content for republication.
- Do not submit anything through our forms that is unlawful, abusive, misleading or infringing.
- Do not use the site in a way that interferes with its availability for anyone else.
We may suspend access where any of the above occurs.
Quotes, proposals and nothing-is-binding-yet
Prices, timelines and packages shown on this site are indicative. They are an invitation to discuss work, not an offer capable of acceptance.
A project exists once a written proposal and scope have been signed by both parties and any required deposit has been received. Until then, nothing on this site commits either of us.
Quotes are valid for 30 days from the date issued.
Intellectual property
The design, code, text, graphics and structure of this site belong to us or to our licensors, except where marked otherwise. You may view and print pages for your own reference. You may not republish, resell or redistribute them without written permission.
Client names, logos and project screenshots shown in our work are the property of those clients and appear with their permission.
Ownership of deliverables produced for a client is set out in that client’s signed agreement. Our standard position: on final payment, the design, the page templates and the content we wrote for you become yours outright. What stays ours is the reusable tooling underneath — build scripts, component patterns and internal libraries we bring to every project — which you get a perpetual licence to use as part of your site. Third-party fonts, plugins and stock imagery stay with their own licensors on their own terms, and we will tell you which ones carry a recurring fee before we use them. We keep the right to show the finished work in our portfolio unless your agreement says otherwise.
Content you send us
When you send us copy, images, logos or access credentials, you confirm that you have the right to do so and that using them as intended will not infringe anyone else's rights.
You keep ownership of what you send. You give us the permission we need to use it to carry out the work you have asked for.
Third-party links and services
This site links to other websites and may embed third-party services. We do not control them and we are not responsible for their content, availability, or how they handle your information. Their terms and privacy policies apply when you use them.
What this site is and is not
The content here is general information about our services. It is not professional, legal, financial or technical advice for your particular situation, and you should not act on it as if it were.
We work to keep the site accurate and available, but we do not warrant that it will be uninterrupted, error-free, or that the information on it is complete or current. To the fullest extent the law allows, this site and its content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. This paragraph is about the website. It does not limit the warranties in a signed client agreement, which are set out there.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss arising from your use of this website, including lost profits, lost revenue or lost data. Our total liability for any claim connected with the website, taken together, is limited to one hundred US dollars. This is a limit on the website only. Liability under a signed client agreement is governed by that agreement, not by this paragraph.
Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnity
If you send us content you did not have the right to send — copy, images, logos or credentials belonging to someone else — and a third party brings a claim against us because of it, you agree to cover the reasonable costs of defending that claim. That is the whole of it. We ask for nothing broader, because nothing broader is proportionate to a marketing site.
Governing law and venue
These terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. The state and federal courts located in King County, Washington have exclusive jurisdiction over any dispute arising from them, and both of us submit to that jurisdiction.
Before either of us files anything, we agree to try to sort it out directly: put the problem in writing to the contact address below, and we will respond within ten working days and talk in good faith for thirty days from that notice. There is no compulsory arbitration clause here and no waiver of your right to a jury or to bring a small claim. If thirty days of talking does not fix it, either of us is free to go to court.
Changes to these terms
We may update these terms. The effective date at the top of the page tells you which version applies. Continuing to use the site after an update means you accept the revised terms.
